ARTICLE 5
First,
said corporation is organized exclusively
for charitable, religious, educational,
and scientific purposes, including,
for such purposes, the making of
distributions to organizations that
qualify as exempt organizations
under section 501 (c) (3) of the
Internal Revenue Code, or the corresponding
section of any future federal tax
code. The corporation is authorized
to accept, hold, administer, invest,
and distribute for said purposes
such funds as may from time to time
be given to it by any person, persons
or corporations, to receive gifts
and make financial and other types
of contributions and assistance
to charitable, religious, and educational
organizations, and in general to
do all things that may appear necessary
and useful in accomplishing the
purposes set forth in these Articles,
as amended.
Second,
the Incorporators shall appoint
a Board of Trustees, who shall compromise
one class of Members; who shall
advise the Directors concerning
the policies, purposes, finances,
and operations of the corporation;
and who shall exercise such other
powers and have such qualifications
as the Bylaws shall specify.
Third,
the Directors, at their sole discretion
pursuant to the Bylaws, may create
one or more additional classes of
Members, whom the Directors may
elect and/or appoint, and who shall
have such powers and qualifications
as the Bylaws shall specify.
Fourth,
no part of the not earnings of the
corporation shall insure to the
benefit of, or be distributable
to its Directors,
Officers,
Members, Trustees, or other private
persons, except that the corporation
shall be authorized and empowered
to pay payments reasonable compensation
for services rendered and to make
forth in Amendments Second and Third
hereof. No substantial part
of the activities of the corporation
shall be carrying on of propaganda,
or otherwise attempting to influence
legislation, and the corporation
shall not participate in, or intervene
in (including the publishing or
distribution of statements) any
political campaign on behalf of
or in opposition to any candidate
for public office. Not withstanding
any other provision of these Articles
and amendments there to, the corporation
shall not carry corporation exempt
from federal income tax under section
501 (c) (3) of the Internal Revenue
Code, or the corresponding section
of any future federal tax code,
or (b) by a corporation. Contributions
to which are deductible under section
170 (c) (2) of the Internal Revenue
Code, or the corresponding section
of any future federal tax code.
Fifth,
upon the dissolution of the corporation,
assets shall be distributed for
one or more exempt purposes within
the meaning of section 501 (c) (3)
of the Internal Revenue Code, or
the corresponding section of any
future federal tax code, or shall
be distributed to the federal government,
or to a state or local government,
for a public purpose. Any
such assets not so disposed of shall
be disposed of by a court of competent
jurisdiction of the county in which
the principal office of the corporation
is then located, exclusively for
such a purpose or to determine,
which organized and operated exclusively
for such purpose.
Sixth,
The power
to alter, amend, repeal, restate
or adopt new Articles hereunder
shall be vested in the Board of
Directors. Such action may
be taken at a regular or special
meeting of Directors for which written
notice of the purpose shall be given.
The Articles may contain any provisions
for the regulation and management
of the affairs of the corporation
not inconsistent with the Illinois
General Not for Profit Corporation
Act of 1986, as amended. The
procedure for amendment of Articles
shall be as follows. Any Director
or Trustee may propose an Amendment
by a said written motion to the
Chairperson or a Co-Chairperson
of the Board of Directors containing
the proposed amendment. Copies
of said written motion shall be
mailed to all Directors and Trustees
at least thirty days in advance
of the next regular or special meeting
of the Board of Directors, wherein
the proposed amendment(s) shall
be discussed. The proposed
amendment (s) shall be voted upon
in a subsequent regular or special
meeting of the Board, to be held
at least thirty days following the
meeting in which the proposed amendment
(s) is first discussed, and a favorable
vote of at least two-thirds of the
number of Directors currently holding
office shall be required for adoption
of the proposed amendment.
